for Advertisers
By posting an advertisement in Directory of Great Deals, you agree to be
bound by the following Terms and Conditions.

In order to post any advertisement in the Directory of Great Deals,
any advertiser must have a product or service that
will save people time, money or effort. Directory of Great
Deals reserves the right to refuse any advertisement that does not offer any product or service
that will save people time, money or effort. Sample Keywords and Phrases You Can Use to Describe Your Money-Saving and Time-Saving Deals.

Products and services that offer discounts or any
special sales, offers and promotions save people money.
-
Products and services that save time include those that
tend to organize, simplify or make things more convenient for people. An
automated version of an offline service can save people time.

Most products and services offered online save people
effort; they tend to make many things easier for people to do. An
automated version of an offline service can save people effort.
-
Advertiser may NOT mention Directory of Great Deals
in any way in any spam, junk emails or unsolicited bulk e-mails, junk faxes
or unsolicited faxes. This will result in IMMEDIATE and PERMANENT removal of your online
advertisement in Directory of Great Deals; your print advertising will not
be included in all future issues of print Directory of Great Deals. Of course, you can promote your business any way you want
(including sending spam) as long as you don't mention Directory of Great
Deals in any way in any spam. You will be held responsible for any and all
expenses incurred by Directory of Great Deals resulting from and associated
with your spam, junk emails or unsolicited bulk e-mails, junk faxes or
unsolicited faxes.

Advertiser may provide a link to http://www.DirectoryOf
GreatDeals.com on advertiser's website (if available) and mention that
advertiser's product, service, website or company is listed or featured in
the Directory of Great Deals.

Advertiser may mention in flyers, ads and other marketing
literature and promotions (except spam) that advertiser's product,
service, website or company is listed or featured in the Directory of
Great Deals.

The size, style, character and arrangement of type and copy
used or applied in connection with any advertisement will be subject to
acceptance by Directory of Great Deals. Preferred position for online or
print directory listing is not available.
-
The larger-sized semi-display print ads will be
presented to the readers before the smaller-sized semi-display print
ads; in turn, the smaller-sized semi-display print ads will be presented
to the readers before the print directory listings.
-
Online and print directory listings are arranged in
alphabetical order.
-
We do NOT consider special requests from advertisers to have online directory
listings and advertisements included in
Featured Great Deals, Featured Time Savers, Featured Money Savers, Featured
Time-Saving Money Savers, Featured Freebies or any other featured sections of
the online Directory of Great Deals. We
will select and feature some of the web sites for FREE based on the time savers, money
savers and other useful information they have to offer our users.

All advertisements placed for publishing by Directory of
Great Deals sales representatives or affiliates or forwarded by advertisers
are deemed mere offerings to purchase until actually accepted by Directory
of Great Deals Advertising Department in Santa Clara, California and is to
be entered into and performed there. These Terms and Conditions and all
provisions and transactions shall be construed in accordance with and
governed by the laws of the state of California.

Directory of Great Deals reserves the right to refuse an
advertising for any reason.

All advertising created by Directory of Great Deals becomes
our property and can not be re-printed in any other publication
without written permission from the publishers.

Advertiser agrees to all terms as stated in the advertising
rate schedule. Advertiser agrees to pay for all advertising ordered by
advertiser, including advertiser's employees, representatives or agents at
the time of submission of advertising materials or upon receipt of a
statement or invoice. Advertiser hereby authorizes Directory of Great
Deals to process and submit any and all charges incurred by advertiser or
other charges under this agreement to the advertiser's bank or credit card
company with or without the advertiser's
signature.

Any advertising cancellation received after the deadline
will be billed in full at the contracted advertising rate. An e-mailed
or written notice must be given to cancel any advertising BEFORE the
deadline.
-
Directory of Great Deals may revise its advertising rate
and distribution at any time upon 30 days written notice to the
advertiser.
-
If the advertiser uses an agency, the advertiser and agency
shall be jointly and separately liable for payment and for compliance with
all the terms of this agreement.
-
Past due amounts are subject to a late payment charge at
the rate of 1.5% per month, starting from the date they are due and payable
and continuing to and including the date payment is received by Directory of
Great Deals.
-
Directory of Great Deals makes no representations of
guarantees whatsoever to advertiser regarding the effectiveness or results
of any advertising.
-
Directory of Great Deals will not be held responsible for
any loss to the advertiser that results from the incorrect publication of
its advertising.
-
Directory of Great Deals assumes no financial
responsibility for typographical errors or omission of advertising copy made
by the advertiser. Credit adjustments for typographical errors or omission
of copy made by Directory of Great Deals or our printers shall not exceed
the cost of the space occupied by such error. Credit for errors will not be
given after the first insertion on multiple insertions. Requests for credit
made 30 days after the advertising appeared will not be granted.

It is the advertisers responsibility to meet the scheduled
deadlines for submission of materials for advertising and payment of
advertising. If payment is made using a check, that check must be paid and
cleared by the advertiser's bank by the deadline. Advertising materials
submitted and paid after the scheduled deadline will be included in the next
issue. There will be no adjustments for advertising that do not publish on
the scheduled date.

If Directory of Great Deals has to use
the services of an attorney, paralegal, collection agency or process server
in order to collect money owed, advertiser will pay for all necessary fees,
charges, costs incurred in the pursuit of collecting money owed. Said fees,
charges and costs pertaining to the collection actions shall include the
following: Preparation and filing of
court forms, obtaining business owner information and other related
business information from city business license divisions and other offices,
public records searching, photocopying, telephone charges, postage fees and
other expenses necessary to accomplish collection actions.

In any action to enforce the terms of this agreement,
Directory of Great Deals shall be entitled to recover its attorney fees,
court costs and other non-reimbursable litigation expenses.
-
Advertiser may not, in any manner, imply that advertiser
has a
relationship or affiliation with, sponsorship or endorsement by Directory of
Great Deals.
-
Advertiser may not make any comments or references in any
advertisement in Directory of Great Deals that can be
reasonably interpreted to suggest that editorial content has been authored by or
represents the views or opinions of Directory of Great Deals or any
Directory of Great Deals representatives.
-
Advertiser may not make any comments or references in any
advertisement in Directory of Great Deals that are misleading,
defamatory, infringing, libelous, disparaging, obscene or otherwise
objectionable to Directory of Great Deals, or impairing the rights of
Directory of Great Deals in Directory of Great Deals' sole opinion.

Advertiser may not place any advertisement in Directory of
Great Deals about a product, service, website
or company that violates any law or regulation.
-
Advertiser agrees that the placement and publication of
his/her advertising is governed by the laws of the State of California.
Advertiser agrees that the city of Santa Clara and the county of Santa
Clara, in which Directory of Great Deals is located, shall be the forum for
any legal action relating to advertising placed or published.

The advertiser assumes full responsibility concerning the
right to use any name, address, trademark, service mark, trade name or other
copy in any advertisement. The advertiser assumes full responsibility for
determining that the advertising will conform in all respects to applicable
laws, including but not limited to, all licensing requirements of federal,
state or local licensing authorities.

The advertiser agrees to indemnify and hold Directory of
Great Deals harmless from any claim, loss, damage or liability which arises
out of or results from the use by the advertiser of an advertising
containing a name, address, trade name, trademark, service mark or other
such similar designations, or arises out of or results from any violation of
any licensing requirements of federal, state or local licensing
authorities.

If, for any reason, any upcoming issue of
print Directory of Great Deals, in Directory of
Great Deals sole
opinion, is not possible to be printed and distributed as planned, including, but not limited to, by
reason of, infection by computer virus, bugs, worms, tampering, unauthorized
intervention, technical failures, or any other events and causes beyond the control
of Directory of Great Deals,
Directory of Great Deals reserves the right at its sole discretion to cancel, terminate,
postpone
or suspend this upcoming issue or proceed in such a manner as may be deemed fair and equitable by
Directory of Great Deals in its sole discretion. Advertiser will be
notified of events and causes beyond the control
of Directory of Great Deals that will require cancellation, termination,
postponement
or suspension of any upcoming issue. Advertiser will be given the option
of canceling his/her advertisement(s) and receiving a refund of amount paid
to Directory of Great Deals for advertisement(s). Directory of Great Deals will not be held responsible for
any loss to the advertiser, directly or indirectly, resulting from or
associated with the cancellation, termination, postponement
or suspension of any upcoming issue of print Directory of Great Deals.

Directory of Great Deals disclaims any warranties that may
be express or implied by law regarding any advertisement, including warranties
against infringement.

Directory of Great Deals reserves the right, in its sole
discretion, to terminate or modify advertiser's permission to post an advertisement in
Directory of Great Deals at any time and to take action against any use that
does not conform to these Terms & Conditions, infringes any Directory of
Great Deals' intellectual property or other rights or violates applicable
law.

Advertiser and any associated advertising agency
agree
to protect and indemnify Directory of Great Deals against any and all
liability, loss or expense arising from claims of libel, unfair competition,
unfair trademarks, trade names or patents, violation of rights of privacy
and infringements of copyrights and proprietary rights resulting from the
publication of the advertisers'
advertisement.
